1. Acceptance of Terms
By accessing or using Brieflo ("the Service"), operated by Brieflo ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Brieflo is a vendor brief management platform designed for small and medium businesses. The Service allows users to create project briefs, share them with vendors via secure links, receive and manage proposals, track milestones, handle approvals, and manage vendor relationships.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and update your information to keep it accurate
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities under your account
4. User Responsibilities
You are responsible for all content you create, upload, or share through the Service. You represent that you have all necessary rights to the content you submit and that your use of the Service complies with all applicable laws.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other accounts, systems, or networks
- Interfere with or disrupt the integrity or performance of the Service
- Engage in abusive, harassing, or fraudulent behavior
- Use automated means to scrape, crawl, or extract data from the Service without permission
- Resell or redistribute the Service without authorization
- Store or transmit content that infringes intellectual property rights
6. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Brieflo and protected by intellectual property laws. You retain ownership of all content you create and upload to the Service.
By using the Service, you grant us a limited, non-exclusive license to host, store, and display your content solely for the purpose of providing the Service to you.
7. Payment and Billing
Certain features of the Service require a paid subscription. All payments are processed securely through Stripe.
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are exclusive of taxes unless stated otherwise
- You authorize us to charge your designated payment method for recurring subscription fees
- We may change pricing with 30 days' advance notice; changes apply at the next billing cycle
8. Free Plan Limitations
The free plan includes limited features and usage quotas, including a maximum of 3 active projects. We reserve the right to modify free plan limitations at any time. Free plan accounts that remain inactive for 12 consecutive months may be subject to deletion after prior notification.
9. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:
- Your subscription remains active until the end of the current billing period
- You will not be charged for subsequent periods
- Your account will revert to the free plan at the end of the billing period
- Refunds are provided on a case-by-case basis for annual subscriptions within 14 days of purchase
- Monthly subscriptions are non-refundable
10. Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
For business users processing personal data of their own customers or vendors through the Service, you remain the data controller and are responsible for ensuring your use complies with applicable data protection laws.
11. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service with reasonable notice. We are not liable for any downtime or service interruptions.
12. Limitation of Liability
To the maximum extent permitted by law, Brieflo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless Brieflo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.
15. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable rules, except where prohibited by law. Nothing in this section prevents you from filing a complaint with your local consumer protection authority.
16. Governing Law
These Terms are governed by and construed in accordance with applicable laws. For users in the European Union, nothing in these Terms affects your mandatory consumer protection rights under the laws of your country of residence.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, for registered users, by email at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
